The Officers and Directors team is made up of lawyers from the Labour, Corporate and Tax teams who have cutting-edge expertise in the issues inherent to directors and corporate officers, the structuring of their pay and their capital incentive.

This team assists directors (officers and employees) and company management with contractual (when directors arrive, negotiating their package, when directors leave) or settlement negotiations and, where appropriate, litigation.

1. Drafting of contractual documentation: employment contract, term of office contract, concurrent holding of corporate office/employment contract
2. Structuring variable pay
3. Audit, analysis and implementation of governance schemes
4. Structuring tailor-made management packages (free allocation of shares, BSPCEs (business creator share subscription warrants), stock options)

6. Negotiation/management of end of term of office
